1. Acceptance of Terms
By accessing or using emeraldkey.com (the "Site") or any services provided by Emerald Key Partners ("EKP," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Site or our services.
If you are using the Site or services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You must be at least 18 years old to use the Site or our services.
2. Description of Services
Emerald Key Partners provides AI strategy, development, consulting, and related professional services. The Site provides information about our practice, products, and points of contact. Specific scope, deliverables, fees, milestones, and timelines for any engagement will be governed by a separate written agreement, such as a Statement of Work or Master Services Agreement, signed between EKP and the client.
In the event of any conflict between these Terms and a signed engagement agreement, the signed engagement agreement controls for matters within its scope.
3. Website Use and User Conduct
You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You may not:
- Scrape, crawl, harvest, or otherwise extract data from the Site through automated means without our prior written permission.
- Reverse engineer, decompile, or disassemble any portion of the Site or its underlying technology.
- Attempt to gain unauthorized access to the Site, any related systems, or any account or data not belonging to you.
- Transmit any malicious code, virus, worm, or other harmful component through the Site.
- Interfere with or disrupt the operation of the Site, including by overwhelming infrastructure with excessive requests.
- Use the Site to send unsolicited commercial communications, impersonate another person, or violate any applicable law or regulation.
- Frame, mirror, or otherwise reproduce the Site without our prior written permission.
4. Intellectual Property
Site content
All content on the Site, including text, graphics, logos, images, audio, video, software, and the selection and arrangement thereof, is owned by Emerald Key Partners or its licensors and is protected by United States and international intellectual property laws. You may not copy, reproduce, distribute, publish, or create derivative works from any Site content without our prior written permission, except for personal, non-commercial use of publicly accessible portions of the Site.
Engagement deliverables
Ownership and license rights for deliverables produced during a client engagement are defined in the applicable Statement of Work or Master Services Agreement. Nothing in these Terms grants any right or license to EKP intellectual property outside of what is expressly stated in a signed engagement agreement.
Feedback
If you provide us with feedback, suggestions, or ideas regarding the Site or our services, you grant EKP a worldwide, royalty-free, perpetual license to use that feedback without restriction or compensation.
5. AI-Specific Provisions
Outputs generated by AI systems developed or deployed by Emerald Key Partners may contain errors, omissions, or inaccuracies. Clients are responsible for human review of AI outputs before relying on them for decisions, communications, or regulated activities. Emerald Key Partners makes no warranty that AI outputs will be accurate, complete, fit for any particular purpose, or free from bias. Where Emerald Key Partners trains or fine-tunes models using client data, ownership and usage rights will be specified in the engagement agreement.
6. Confidentiality
Information shared between EKP and a prospective or active client in the course of business discussions and engagement work may be subject to confidentiality obligations. Specific confidentiality terms, including duration and permitted uses, are governed by a separate signed non-disclosure agreement or by the confidentiality provisions of the applicable engagement agreement.
These Terms do not create a confidentiality obligation by themselves. If confidentiality is required for any communication, the parties must execute a separate signed agreement.
7. Disclaimers and Limitation of Liability

THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EMERALD KEY PARTNERS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of the Site is at your sole risk.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EMERALD KEY PARTNERS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO EMERALD KEY PARTNERS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD 100). Liability for engagement work is governed by the limitation of liability provisions in the applicable engagement agreement.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
8. Indemnification
You agree to indemnify, defend, and hold harmless Emerald Key Partners and its affiliates, officers, employees, agents, and licensors from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your breach of these Terms.
- Your violation of any applicable law or regulation.
- Your infringement of any third-party right, including any intellectual property or privacy right.
- Your use of the Site in violation of these Terms.
Indemnification for engagement work is governed by the applicable engagement agreement.
9. Third-Party Services
Our Site and services may rely on or integrate with third-party platforms and services, including without limitation OpenAI, Anthropic, Google, Amazon Web Services, and other providers. We are not responsible for the availability, accuracy, content, or practices of any third-party service. Your use of any third-party service is governed by that provider's own terms and policies.
To the fullest extent permitted by law, Emerald Key Partners is not liable for any loss or damage arising from the failure, outage, or change of any third-party service.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms through direct discussion. If the dispute cannot be resolved within thirty (30) days, the parties agree to attempt non-binding mediation in Monroe County, Florida, before either party may initiate litigation.
Any claim or proceeding arising out of or relating to these Terms that is not resolved through the process above will be brought exclusively in the state or federal courts located in Monroe County, Florida, and each party consents to the exclusive jurisdiction and venue of those courts.
11. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including for any violation of these Terms. Upon termination, all provisions of these Terms that by their nature should survive termination will survive, including without limitation intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.
Termination of an active engagement is governed by the termination provisions of the applicable engagement agreement.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice through the Site or direct communication. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Site.
